Official Rules - THETA Unofficial Guide Summer 360° Picture Challenge

ELIGIBILITY
Contest is open only to individuals who have reached the age of majority in their jurisdiction of residence at the time of entry and who do NOT reside in Cuba, Iran, North Korea, Sudan or Syria. Employees of Oppkey, Inc., and its subsidiaries and affiliates, and their immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they live) or persons living in the same households of such employees, whether or not related are not eligible. CONTEST IS VOID IN CUBA, IRAN, NORTH KOREA, SUDAN, SYRIA AND WHERE PROHIBITED.
Void where prohibited by law. Participation constitutes entrant’s agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Promotion. The Promotion is a sweepstakes.
TIMING
Promotion starts on July 18, 2017, 12:00 P.M. Pacific Time (“P.T.”) and ends on August 21, 2017, at 11:59 P.M. P.T. The computers and processes of Sponsor (as determined in Sponsor’s sole discretion) shall be the official timekeepers of this Promotion.
HOW TO ENTER
During the Promotion period, go to http://lists.theta360.guide/t/summer-360-picture-challenge/1388 and enter picture via email pursuant to the on-screen instructions. Registration with the theta360.guide site is required, but is free and cancelable at any time. Upon successful completion, you will automatically receive one (1) entry into this Promotion.
LIMIT
Each participant may submit three (3) entries during the Promotion period. Resubmissions are allowed, but only three total entries will be considered.
USE IN MARKETING MATERIALS
Participants agree that all submitted photographs are available for use in Oppkey, Inc., marketing materials. Specifically, all submitted photographs will be placed under a Creative Commons (CC) license. A CC license enables the free distribution of an otherwise copyrighted work. A CC license is used when an author wants to give people the right to share, use, and build upon a work that they have created.
WINNER SELECTION AND ODDS OF WINNING
One (1) winner will be selected by Sponsor on August 22, 2017, from among all eligible entries received by the Sweepstake deadline. Drawing will be conducted by the Sponsor whose decisions are final. Winner is subject to verification before any prize will be awarded. Winner will be notified via e-mail, at Sponsor’s discretion, with up to three emails to the email address included on the signup form. If the winner does not reply by “reply deadline” stated in the emails (August 29, 2017), another winner will be selected with 7 days to reply.
WINNER VERIFICATION
Winners must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. Winners will be notified e-mail after the date of the random drawing. Except where prohibited, winners will be required to sign and return to Sponsor within seven days of the date notice is sent and Affidavit of Eligibility in order to claim his/her prize. Winners will be required to provide a valid home mailing address or forfeit the prize. If a winner cannot be contacted or fails to sign and return the Affidavit of Eligibility within the required time period or fails to provide their address as described above or the prize is returned as undeliverable, the winner forfeits the prize. In the event of such forfeiture or disqualification for any other reason, Sponsor reserves the right to award the prize to an alternate winner random drawing from among all remaining eligible entries. There will be a maximum of one (1) alternate drawing, after which the prize will remain unawarded. Prizes will be fulfilled 8-10 weeks after winners are confirmed.
PRIZING

Ten (10) other winners will receive a RICOH THETA erasable pen (approximate retail value $2.50 - $3.80), similar in value to products listed here: https://www.jetpens.com/Pilot-FriXion-Ball-Knock-Gel-Pens/ct/1052
No cash equivalent. Prizes are non-transferable and no substitution will be made except at Sponsor’s sole discretion or in the event a prize is unavailable. If a prize is unavailable, Sponsor reserves the right to substitute any listed prize for one of equal or greater value. All prize details not specifically detailed in the Official Rules such as color, size and any additional features will be selected in Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with the prize receipt. Prizes are awarded “AS IS.” Neither Sponsor nor Sponsor Affiliates make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with the Promotion or any prize. No issuer of any offered prize is associated with or sponsoring the Promotion.
RELEASE OF LIABILITY; DISCLAIMER OF RESPONSIBILITY
By accepting a prize, winners agree to hold Sponsor, its advertising and promotion agency and their respective affiliated companies, partners, representative agents, successors, assigns, officers, directors, and employees (collectively, the “Released Parties”) harmless for any injury or damage caused or claimed to be caused by participation in any Promotion or acceptance or use of the prize. Sponsor is not responsible for any printing, typographical, mechanical or other error in the printing of the offer, administration of any Promotion or in the announcement of the prize(s) in a particular Promotion. Sponsor assumes no responsibility or liability for (a) an error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; (b) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; © any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in a Promotion or downloading any materials in a Promotion; (d) technical or human error which may occur in the processing of entries; or (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in any Promotion or receipt or use or misuse of an prize.
INTERNET
Sponsor is not responsible for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operation or transmission, theft or destruction or unauthorized access to or alteration of entry material, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at an website or an combination thereof. Sponsor reserves the right at its discretion to cancel, terminate, modify or suspend any Promotion if it is not capable of being operated as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond Sponsor’s control which corrupt or affect the administration, security, fairness, integrity or proper conduct of such Promotion. In such event, Sponsor may award prizes in a random drawing from all eligible entries received up to the date of cancellation or suspension. Sponsor reserve the right to disqualify any individual from participating in a Promotion or winning a prize if, in its sole discretion, it determines that said individual is attempting to undermine the legitimate operation of a Promotion by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs or intending to annoy, abuse or threaten any other entrants or Sponsor representatives). ANY ATTEMPT BY AN ENTRANT DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF ANY PROMOTION OR DAMAGE THE LEARN IOT COMMUNITY WEBSITE MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULL EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
Conditions
THIS CONTEST IS VOID WHERE PROHIBITED. To the extent permitted by law, the right to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this Contest are hereby excluded and any entrant expressly waives any and all such rights. Certain restrictions may apply. Entries are void if Sponsor determines the photograph to not be an original, or if the entries are incomplete, inaccessible or blocked, corrupted, damaged, irregular, altered, counterfeit, produced in error or obtained through fraud or theft.
By entering, entrants also agree (a) to be bound by these Official Rules; (b) that the decisions of the Sponsr is final and binding with respect to all matters relating to the Contest; and © if the entrant wins that the Sponsor may use the winning photographs and each winner’s name, photograph, likeness, and/or voice in any publicity or advertising relating to the Contest or future promotions without compensation or approval (except where prohibited by law).
All federal, state/provincial/territorial, and local taxes, fees and surcharges and taxes (whether foreign or domestic, and including income, sales, and import taxes) on prizes are the sole responsibility of the prize winners.
Sponsor reserves the right to verify the validity and originality of any entry and/or entrant (including an entrant’s identity and address) and to disqualify any entrant who submits an entry that is not in accordance with these Official Rules or who tampers with the entry process. Failure by Sponsor to enforce any of its rights at any stage does not constitute a waiver of those rights.
Right to cancel or suspend contest
If for any reason the Contest is not capable of running as planned, due to infection by computer virus, bugs, worms, trojan horses, denial of service attacks, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, the Sponsor reserves the right, at its sole discretion, to disqualify any individual(s) who tamper with the entry process, and/or to cancel, terminate, modify, or suspend the Contest. If Sponsor elects to cancel or terminate the Contest, Sponsor will not retain any rights in the submitted photographs, and will return the fees submitted with each entry.
PRIVACY
Any information you submit will be subject to Sponsor’s Privacy Policy, located at http://lists.theta360.guide/privacy (the “Policy”). By entering any Promotion, you acknowledge your agreement to such Policy and your consent to Sponsor’s collection, use and disclosure of your personal information for the purposes of administering the Promotion(s) in which you are participating in accordance with such Policy. If you wish to access or correct your personal information held by Sponsor, please contact Sponsor at info@oppkey.com.
DISPUTE/CHOICE OF LAW
Except where prohibited, each entrant agree that: (a) any and all disputes, claims and causes of action arising out of or connected with any Promotion or any prize(s) awarded shall be resolved individually, without resort to an form of class action, and exclusively in the courts located in the county of San Francisco, California, or the U.S. District Court for the Northern District of California, (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorney’s fees; and © no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”), and (d) entrant hereby waives all rights to claim Special Damages and all rights to have such damage multiplied or increased. California State law, without reference to California’s choice of law rules, governs each Promotion and all aspects related thereto.
